Managed Cial Terms

Terms for the hosted service.

These Terms govern Managed Cial, the hosted Cial service at cial.app. They do not govern independently self-hosted OpenCial software.

1. Scope and definitions

Managed Cial is the hosted service made available at cial.app and its managed workspace subdomains, including hosted accounts, workspaces, billing and support. These Terms form the agreement for your use of Managed Cial.

OpenCial refers to Cial source code when it is separately distributed as open-source software that you can run yourself. Each OpenCial release is governed by the licence included with that source code, not by these Terms. Using self-hosted OpenCial does not create a Managed Cial account or subscription. If you separately use a Managed Cial service, these Terms apply only to that managed service.

2. Operator

Managed Cial is operated by the Techforces project, based in France and currently in the process of formation. Techforces is not represented here as an incorporated company. Its final legal name, legal form, registered office, registration number and, if applicable, VAT number will be published when registration is complete. Service questions can be sent to support@cial.app.

3. Eligibility and your account

You must have legal capacity to enter this agreement. If you use Managed Cial for an organisation, you confirm that you are authorised to bind it. You must provide accurate information, keep credentials secure, promptly report suspected compromise, and remain responsible for activity through your account and for the data and systems you connect.

4. Managed service, plans and trials

Managed Cial provides an isolated hosted workspace with features and resource limits determined by your current plan. Current plan details are shown on the pricing page, at checkout and in your account.

Eligible new Managed Cial accounts automatically receive a seven-day Solo trial, starting when account activation completes. No card is required and the trial does not automatically charge you. Trial capacity is subject to service availability and reasonable abuse controls. Unless you actively subscribe, your account moves to the Free plan when the trial expires; your Managed Cial workspace remains subject to the Free plan limits.

5. Paid subscriptions

Prices, currency, billing cadence and applicable taxes are displayed before checkout. Paid subscriptions renew for the selected billing period until cancelled. You can manage or cancel a subscription through the billing portal; cancellation normally takes effect at the end of the current paid period.

Nothing in these Terms limits a mandatory withdrawal, cancellation, refund or other consumer right available under applicable law. Any additional refund or credit is at our discretion unless separately agreed in writing.

6. Your content

You retain your rights in prompts, files, source code and other content you submit. You give us only the limited rights needed to host, copy, transmit, secure and otherwise process that content to provide, maintain and support Managed Cial. You confirm that you have the rights and permissions needed for content and credentials you provide.

7. Acceptable use

You may not use Managed Cial to break the law; violate another person’s rights; compromise systems or accounts; distribute malware, spam or unsolicited messages; evade service limits; mine cryptocurrency; disrupt the service; or access another user’s workspace, data, control-plane credential or private service.

8. Agents and third-party services

Managed Cial agents can execute tools and modify software. Review important output, permissions and changes before relying on them, especially destructive or external actions. You are responsible for the instructions, credentials and third-party systems you connect.

Optional integrations and services supplied by third parties are governed by their own terms and privacy practices. We are not responsible for a third-party service merely because you connect it to Managed Cial.

9. OpenCial, Citadel and intellectual property

Any OpenCial source release is governed solely by the open-source licence published with that code. Citadel is the proprietary control plane used to operate Managed Cial and is not part of OpenCial. Managed Cial hosting, the Citadel control plane, Cial branding, product designs and other proprietary service components are not licensed by implication.

10. Availability and service changes

We work to keep Managed Cial reliable and secure, but do not promise uninterrupted or error-free availability. Maintenance, security work, provider failures and events outside reasonable control may affect access. No service-level agreement applies unless separately agreed in writing. We may change features and limits while taking reasonable steps to avoid materially harming an active paid service.

11. Suspension and termination

We may limit or suspend access when reasonably necessary to protect users, the service or third parties; comply with law; address unpaid subscriptions; investigate compromise; or stop prohibited activity. We may terminate an account for a material or repeated breach. You may stop using Managed Cial at any time and can cancel a paid subscription through the billing portal. Data handling after closure is described in the Privacy Notice.

12. Warranties and liability

Managed Cial is provided with reasonable care and skill. To the extent permitted by law, we do not guarantee that generated output is accurate, complete or suitable for a particular purpose, and we are not responsible for decisions made without appropriate review. Nothing in these Terms excludes liability or remedies that cannot legally be excluded, including mandatory consumer protections.

13. Governing law and disputes

These Terms are governed by French law, without depriving consumers of mandatory protections available in their country of residence. Contact support@cial.app first so we can try to resolve a dispute. The competent consumer-mediation service and final operator details will be added when the Techforces registration process is complete.

14. Changes to these Terms

We may update these Terms for legal, security or service changes. The latest update date appears on this page. If a change is material, Managed Cial may require you to review and accept the new version before continuing.
